# Master Services Agreement (Template)

## Parties

Bacenik LLC ("Supplier") and the enterprise customer ("Customer").

## Scope

SupplierClear Pre-PO Engineering Decision Intelligence — structured decision support, not supplier certification or procurement execution.

## Data processing

Governed by the executed Data Processing Agreement (DPA). Customer retains ownership of uploaded data.

## Service levels

Enterprise tier SLAs are defined in the Order Form. Standard uptime target: 99.5% monthly.

## Limitation of liability

Capped at fees paid in the preceding 12 months. No liability for supplier outcomes based on Customer inputs.

## Term and termination

Per Order Form. Customer may export data for 30 days post-termination.

## Governing law

As specified in Order Form (default: Delaware, USA).
